Cole-Parmer - Terms and Conditions These Terms and Conditions of Sale, and those posted on Cole-Parmers Web site at www.coleparmer.co.uk, are applicable to all sales of products and services by Cole-Parmer and its subsidiaries and affiliates, and terms or conditions included in any document which are inconsistent with these Terms and Conditions shall not be binding on Cole-Parmer. Prices: Prices quoted are exclusive of VAT, packing and carriage. VAT will be added to all goods and services supplied at the prevailing rate. Whilst every effort is made to maintain the prices shown in this catalogue, the Company reserves the right to modify prices at any time without notice. Delivery: Any time for delivery stated by the Company shall be treated as an estimate only. Whilst every effort will be made to dispatch goods on time, no liability can be accepted by the Company for failure to deliver within the advertised times. The Company shall not be liable for any loss or damage whatsoever (including consequential loss of profit or revenue) arising directly or indirectly from any delay on the delivery of all or any of the goods and services, howsoever caused. Terms of Payment: Unless otherwise expressly stipulated by the
Company, credit account invoices are due and
payable 30 days from the date of invoice. If an
invoice becomes overdue for payment the
full outstanding account becomes overdue
and payable. Payment can be made by cheque
or major credit cards*, made payable to
Cole-Parmer. New Accounts: The company will be pleased to consider any
request for opening a credit account against
a satisfactory bank and two trade references.
Please allow two weeks for account opening
procedures to be completed. If you require
goods sooner, please send a cheque with your
first order, or for immediate dispatch of goods
pay by any major credit cards. Packing and Carriage Charge: a) All ex-stock orders over £350 net value and under 25 kilos are delivered Free to UK mainland (except North Scotland) addresses. b) All ex-stock orders under £350 net value and under 25 kilos are delivered to UK mainland address (except North Scotland) and charged as follows: Standard Delivery: 2-4 days, £8.95 excl. VAT Next Day Delivery: 24 hours, £12.00 excl. VAT c) All orders under 25 kilos delivered to Northern Ireland, North Scotland and Channel Islands are as follows: Standard Delivery: 2-4 days, £15.00 excl. VAT d) All orders above 25 kilos and all orders for delivery outside the UK mainland are quoted for separately. e) All non-stock orders will be quoted for separately. Any orders received for non-stock items, the Company will notify the customer in advance of lead times and any additional carriage charge applicable. Limited Warranty: Cole-Parmer
(CPUK) warrants products sold by CPUK
to be free from defects in materials and
workmanship for a period of one year from
the date of shipment, under normal use and
service, unless a different warranty period is
specified in the CPUK catalogue, product
packaging, or Web site. CPUKs sole
responsibility and the customers exclusive
remedy for any claim arising out of the
purchase of any product from CPUK is, at
CPUKs option, repair, replacement, or credit,
where applicable. Unless otherwise agreed in
writing, the foregoing warranty is limited to
the country in which the product is sold. No
CPUK employee, agent or representative has
the authority to bind CPUK to any warranty
other than the foregoing unless in writing and
signed by a duly authorized officer of CPUK.
CPUK makes no warranty and shall have no
obligation except as stated in its returned
goods policy with respect to expendable or
consumable products. CPUK DISCLAIMS ALL
OTHER WARRANTIES, WHETHER EXPRESS,
IMPLIED OR STATUTORY, INCLUDING THE
WARRANTIES OF MERCHANTABILITY AND
FITNESS FOR A PARTICULAR PURPOSE.
In no event: (i) shall the cost of the customers
exclusive remedy exceed the purchase price
of the subject product; (ii) shall CPUK be liable
for any special, indirect, incidental,
consequential, or exemplary damages,
howsoever arising, even if CPUK has been
advised of the possibility of such damages. Shortages or Damage in Transit: Claims for shortages or damage in transit must be notified in writing to the Company within three days of receipt of goods, or in the case of non-delivery within 48 hours of receiving the invoice, otherwise no liability can be accepted by the Company. Packages which have been damaged in transit should be returned to the Company as detailed under Return of Goods. Return of Goods: Under no circumstances will Cole-Parmer accept the return of any goods without prior approval by a Company official who will issue the customer a goods return number. Any goods returned which have been used in a process must also be accompanied with a Certificate of Decontamination as detailed at right under COSHH Regulations. Any returned goods must be accompanied with the Cole-Parmer issued goods return number and the customers letterhead instructions. The Company will be pleased to refund or credit the customer the carriage charge for returned goods found to be defective. Supply of Goods: In the event that the Company is unable to supply goods as ordered by the customer, the Company reserves the right to offer goods of equal or superior quality comparable to or compatible with the goods ordered at the same price. Cancellation of Orders: Where cancellation is accepted, the company will charge the customer a 30% restocking and handling charge on the net order value and where the minimum handling charge is £50.00 per order. Under no circumstances will cancellation be accepted for items specially manufactured or ordered on the customers behalf. COSHH Regulations: No goods that have been used, by law, may be returned for whatever reason without passing and being accompanied by a Certificate of Decontamination, which should record the media used and nature of potential contamination. Any goods returned without this documentation and suspected of being used may be quarantined and disposed of without further inspection. Property and Title:
No property or title to goods shall pass from
the Company to the customer unless and until
the full amount of the value of the goods as
invoiced has been credited to the Companys
bank account without recourse or the
Company has received the full amount in cash
and the customer shall indemnify the
Company against any loss or damage to the
goods prior to the passing of property therein
whilst in the customers custody. Risk of
damage or loss of the goods shall pass to the
customer at the time of delivery or, if the
customer wrongfully fails to take delivery of
the goods, at the time when the Company has
tendered delivery of the goods.
